1. Agreement to Terms

By accessing or using the Zentrix platform (gozentrix.com), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site. These terms apply to all visitors, users, and others who access or use the platform. We reserve the right to update these terms at any time, and your continued use of the platform following any changes constitutes your acceptance of the new terms.

2. Use of Our Platform

Zentrix grants you a limited, non-exclusive, non-transferable, and revocable license to use our platform strictly in accordance with these Terms. You may use the platform to generate, manage, and operate AI-powered business storefronts for lawful commercial purposes. You agree not to use the platform in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party's use and enjoyment of the platform. Zentrix reserves the right to terminate your access to the platform at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

3. User Accounts

To access certain features of the platform, you must register for an account. When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Zentrix immediately of any unauthorized use of your account. Zentrix will not be liable for any losses arising from unauthorized use of your account. You may not transfer your account to another person without prior written consent from Zentrix.

4. Intellectual Property

The Zentrix platform, including all content, features, and functionality, is owned by Zentrix and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The AI-generated content created through your use of the platform, including store names, designs, and product descriptions, is licensed to you for use in connection with your business. However, Zentrix retains all underlying rights to the AI models, templates, and algorithms used to generate such content. You may not reproduce, distribute, or create derivative works from our platform without express written permission.

5. Payment Terms

Certain features of the Zentrix platform require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are billed in advance on a monthly or annual basis and are non-refundable except as expressly set forth in our Refund Policy. We reserve the right to change our pricing at any time with reasonable notice. Your continued use of the platform after a price change constitutes your acceptance of the new pricing. Failure to pay fees when due may result in suspension or termination of your account.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period, after which your account will revert to the free tier or be deactivated. We do not provide refunds for partial billing periods. However, if you believe you have been charged in error, please contact us at info@gozentrix.com within 14 days of the charge and we will review your request. New subscribers may be eligible for a refund within 7 days of their first payment, at our sole discretion.

7. Prohibited Activities

You agree not to engage in any of the following activities while using the Zentrix platform: (a) violating any applicable laws or regulations; (b) impersonating any person or entity or misrepresenting your affiliation with any person or entity; (c) uploading or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; (d) using the platform to engage in fraudulent activity or deception; (e) attempting to gain unauthorized access to any part of the platform or its related systems; (f) using automated tools to scrape, crawl, or otherwise extract data from the platform without our consent; (g) uploading viruses or other malicious code. Violation of these prohibitions may result in immediate termination of your account.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Zentrix and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from your use of or inability to use the platform. In no event shall our total liability to you for all claims relating to the platform exceed the amount paid by you, if any, for access to the platform in the twelve months preceding the claim. Some jurisdictions do not allow limitations on liability, so the above limitations may not apply to you.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of the Zentrix platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California. You agree to submit to the personal jurisdiction of such courts. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
